Why Do Foreign Nationals Need an Indian DSC?
As India continues to attract global foreign direct investment (FDI), multinational corporations and overseas entrepreneurs frequently establish subsidiaries, branch offices, and joint ventures across the country. Under the Companies Act 2013, all foreign directors appointed to an Indian company board must hold a valid Class 3 Digital Signature Certificate (DSC) to sign MCA filings, apply for a Director Identification Number (DIN), and file annual returns.
Foreign investors and foreign entities filing Indian trademark applications, patent registrations, or participating in international government tenders also require an Indian DSC issued by a licensed Certifying Authority (CA).
Apostille vs Embassy Attestation Rules
The documentation requirements for foreign nationals depend strictly on whether the applicant's home country is a signatory to the 1961 Hague Apostille Convention:
- Hague Convention Countries (USA, UK, Australia, Germany, Japan, etc.): Documents (passport copy and address proof) must be notarized in the foreign jurisdiction and apostilled by the competent government authority (such as the State Department or Foreign Office).
- Non-Hague Convention Countries (UAE, Singapore, Saudi Arabia, etc.): Documents must be notarized locally, attested by the local Ministry of Foreign Affairs, and finally consularized/attested by the Indian Embassy or High Commission in that country.
The Paperless Application Process
Authorized Indian CAs now support a streamlined, paperless verification pathway for foreign applicants:
- Digital Document Submission: High-resolution scanned color copies of the apostilled/attested passport and residential address proof are submitted online.
- SMS & Email Verification: Secure OTP confirmation sent to the foreign applicant's international telephone number and email address.
- Online Video Recording: The applicant completes a 3-minute video verification link on their smartphone or laptop, showing the original passport and confirming their name and application details.
- Certificate Issuance: Once verified by the CA compliance desk, the Class 3 certificate is downloaded onto a secure cryptographic USB token and dispatched via express international courier, or configured for remote cloud signing.
